The terms under which Infon LLC provides its services.
Clear terms build trust.
These General Terms and Conditions (the «GTC») govern the contractual relationship between Infon LLC and its clients (the «Client»). They apply to all offers, contracts and services of Infon LLC unless otherwise agreed in writing.
This is a translation for convenience. In the event of discrepancies, the German version of these GTC shall prevail.
These GTC apply in the version valid at the time the contract is concluded. Deviating, conflicting or supplementary terms of the Client become part of the contract only if Infon LLC has expressly agreed to them in writing. Individual agreements and offers take precedence over these GTC.
Infon LLC provides services in the fields of software and technology (in particular software development, digital platforms, cloud and IT solutions, digitalisation and automation, and sedex integrations including eSchKG) as well as corporate services and services relating to law and documents (in particular company formation, domicile services, corporate services, debt enforcement and collection, and information and document services).
The specific scope of services follows from the respective offer, order confirmation or individual contract. Information on the website, in brochures or in general descriptions does not constitute a binding warranty of particular characteristics.
Presentations on this website are non-binding and do not constitute a legally binding offer. Unless stated otherwise, offers by Infon LLC are valid for 30 days.
A contract is concluded when Infon LLC confirms an order in writing, when a signed offer is received from the Client, or when Infon LLC begins performing the service. Communication by e-mail also satisfies the written form requirement.
Infon LLC is a private Swiss service company and is neither an authority, nor a law firm, nor a fiduciary company in the sense of an advisory activity requiring a licence. Its services comprise administrative, technical and organisational support, but not legal, tax or financial advice.
General information, templates, checklists or statements do not replace individual advice from a qualified professional. Where a legal, tax or financial assessment is required, it is the Client's responsibility to consult an appropriate professional. Infon LLC will point out such a need where it is apparent.
Where services concern the initiation, support or handling of official proceedings (in particular commercial register entries, debt enforcement proceedings under the DEBA/SchKG, register extracts and document procurement), Infon LLC owes careful and professional handling, but not a particular outcome.
Decisions of authorities, courts or third parties lie outside the control of Infon LLC. Likewise, no warranty is given for the solvency or willingness to pay of debtors, for processing times of authorities, or for the availability and accuracy of official registers.
The Client shall provide Infon LLC in good time, completely and free of charge with all information, documents, access rights and acts of cooperation required for the provision of services. The Client shall designate a contact person with the necessary decision-making authority.
The Client warrants that the information, data and documents it provides are correct, complete and lawful, and that it holds the necessary rights. In particular, the Client warrants that it is entitled to place the respective order and that asserted claims exist and are due.
Delays, additional work or damages resulting from missing, late or incorrect cooperation shall be borne by the Client. Any resulting additional work will be charged on a time and materials basis.
Dates and deadlines are binding only if expressly agreed as binding in writing. Otherwise, stated periods are indicative.
Delays attributable to the Client's acts of cooperation, to third parties, to authorities or to circumstances outside the control of Infon LLC shall reasonably extend agreed dates.
Work results, in particular software developments, are submitted to the Client for acceptance. The Client shall examine the service within 10 working days and report any material defects in writing.
If no report is made within this period, or if the service is used productively, it shall be deemed accepted. Immaterial defects do not entitle the Client to refuse acceptance; they will be remedied as part of defect rectification.
The prices stated in the offer or order confirmation are decisive. Unless otherwise agreed, all prices are in Swiss francs (CHF) and exclusive of value added tax and exclusive of third-party costs.
Official fees (in particular commercial register, notary, debt enforcement and register fees) as well as disbursements and third-party costs are not included in the fee of Infon LLC. They are disclosed transparently and separately and passed on to the Client. Infon LLC may request an advance payment for such costs.
Services without a fixed-price agreement are charged on a time and materials basis at the rates applicable at the time.
Unless otherwise agreed, invoices are payable within 30 days of the invoice date without deduction. Infon LLC is entitled to request partial or advance payments, in particular for first orders, project-based services and third-party costs.
If the payment period expires without payment, the Client is in default without further reminder. From the onset of default, default interest of 5 % per annum is owed; reminder fees and costs of legal enforcement remain reserved.
In the event of payment default, Infon LLC may postpone or suspend further services until payment is made in full. Set-off against counterclaims is permitted only where such claims are undisputed or have been legally established.
All intellectual property rights in work results created by Infon LLC remain with Infon LLC until the remuneration owed has been paid in full.
Upon full payment, the Client receives a non-exclusive right of use, unlimited in time and territory, to the work results created for it for the contractually intended purpose, unless otherwise agreed.
Pre-existing tools, libraries, frameworks, concepts and general know-how of Infon LLC remain with Infon LLC. Infon LLC remains entitled to make unrestricted further use of the general knowledge acquired in the course of an engagement.
Where third-party components or open-source software are used, the respective licence terms of the rights holders apply exclusively. Infon LLC points out material licence terms but assumes no warranty and no liability for third-party products.
Infon LLC is entitled to engage auxiliary persons and subcontractors to perform its services. It remains responsible to the Client for performance in accordance with the contract.
Both parties shall treat as confidential all non-public information that becomes accessible to them in the course of the cooperation and shall use it exclusively for the performance of the contract. This obligation continues beyond the end of the contract.
Statutory or official disclosure obligations remain reserved, as does disclosure to engaged auxiliary persons who are subject to a corresponding duty of confidentiality.
The processing of personal data is governed by the Swiss Data Protection Act (DPA) and the privacy policy of Infon LLC, which forms an integral part of these GTC.
Where Infon LLC processes personal data on behalf of the Client, this is done exclusively in accordance with the Client's instructions and within the scope of the agreed service. The Client remains responsible for the lawfulness of the data it transmits.
Infon LLC provides its services professionally and carefully in accordance with the current state of the art. It does not warrant that software is entirely free of defects or available without interruption; this corresponds to the current state of the art.
Defects must be reported in writing and comprehensibly immediately upon discovery. In the case of a justified and timely notice of defects, Infon LLC will remedy the defect within a reasonable period by rectification or replacement. If rectification fails repeatedly, the Client is entitled to the statutory remedies.
Excluded from the warranty are defects attributable to improper use, unauthorised interventions by the Client or third parties, incorrect information provided by the Client, third-party products, or circumstances outside the control of Infon LLC.
Infon LLC is liable without limitation under statutory law for damage caused intentionally or through gross negligence by it or its auxiliary persons, and for personal injury. Any exclusion of this liability is prohibited under Art. 100 CO.
In all other respects, liability is excluded to the extent permitted by law. In particular, Infon LLC is not liable for slight negligence, for indirect or consequential damage, for loss of profit, loss of data, business interruption or claims of third parties.
To the extent a limitation of liability is permissible, liability is limited in amount to the sum paid by the Client for the service concerned in the twelve months preceding the damaging event.
The Client is obliged to ensure appropriate and regular backup of its data. In the event of data loss, Infon LLC is liable, within the limits set out above, at most for the effort that would have been incurred for restoration had proper data backup been performed.
Events outside the control of the parties – in particular natural events, epidemics, power failures, disruptions of telecommunications or cloud services, cyber attacks, official orders or labour disputes – release the affected party from its obligation to perform for their duration. If the event lasts longer than 60 days, either party may terminate the affected contract in writing.
Individual engagements end upon full provision of the agreed service. Continuing obligations (in particular maintenance, operation, domicile and support services) may, unless otherwise agreed, be terminated in writing by either party subject to three months' notice effective at the end of a calendar month.
The right to terminate for good cause remains reserved, in particular in the event of significant payment default, breach of material contractual obligations, or the opening of insolvency proceedings against the Client. Services already rendered must be remunerated in any event.
Infon LLC may name the Client as a reference or use the Client's logo for reference purposes only with the Client's prior consent. Consent given may be revoked in writing at any time.
Infon LLC may amend these GTC at any time. The version valid at the time of conclusion of the contract is decisive. In the case of continuing obligations, changes will be communicated to the Client at least 30 days in advance; if the Client does not object in writing before they take effect, the amended GTC shall be deemed accepted.
Should individual provisions of these GTC be wholly or partly invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The parties shall replace the affected provision with a valid provision that comes closest to its economic purpose.
All legal relationships between Infon LLC and the Client are governed exclusively by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and excluding the conflict-of-law rules of the Swiss PILA.
The exclusive place of jurisdiction is Zug, Switzerland. Mandatory statutory places of jurisdiction, in particular in favour of consumers, remain reserved.
These General Terms and Conditions are dated July 2026.
